Jipyong Capital Markets Group Publishes 'Jipyong IPO Practice Research (2025)'

On March 15, the IPO Practice Research Group of Jipyong Capital Markets Group (“Capital Markets Group”) published 'Jipyong IPO Practice Research (2025),' a comprehensive resource addressing practical legal challenges encountered during the initial public offering (IPO) process in Korea. 
 
Building upon last year’s 'Jipyong IPO Practice Book (2024),' the 2025 edition covers key practical issues and incorporates updates regarding amendments to laws, regulations, and guidelines. It also includes experiences and expertise of foreign companies conducting IPOs on Korean exchanges as well as providing practical insights on the Supreme Court’s ruling on investor informed consent. 
 
The book is organized into three chapters, including a closing review of the IPO market in 2024. Chapter 1 (General—Listing Systems) covers ▲the significance of IPOs, ▲eight essential points CEOs must know for a successful IPO, ▲IPO requirements, and ▲IPO procedures. Chapter 2 (Major Issues in Practice) addresses ▲management transparency and internal control deficiencies, ▲management stability and shareholder agreements, ▲ stock option-related issues, ▲failure to file securities reports, and ▲case studies. Chapter 3 (Specialized IPO Practices) discusses ▲IPOs by PEF managers, ▲IPOs by companies where PEFs are the largest shareholders, and ▲IPOs by foreign companies on the Korea Exchange.
