Jae Chul (JC) LEE

Jae Chul (JC) Lee is a Senior Foreign Attorney in the Capital MarketsㆍPE Group, specializing in IPOs, cross-border investments, corporate financings, and M&A transactions.

Prior to joining Jipyong, Mr. Lee served as partner for two decades at the Hong Kong offices of Loeb & Loeb LLP and DLA Piper LLP. He successfully advised on landmark transactions, including the first-ever listings of a Korean company and a German company on the Hong Kong Stock Exchange. He also has extensive experience representing Korean banks, securities companies, and asset management companies on licensing, regulatory, and compliance matters across multiple jurisdictions.

Mr. Lee has leveraged his expertise in innovative and complex transactions to lead a wide range of cross-border transactions, including capital markets deals, international securitizations, and structured finance matters.

Mr. Lee is admitted to practice law in New York, and is also qualified as a solicitor in England & Wales and Hong Kong.

  • Advising an IPO of Future Data Group, the first IPO of a Korean company in Hong Kong through a Cayman-established special purpose company.
  • Advising an IPO of Schramm Holding AG, the first IPO of a European company in Hong Kong.
  • Advising a Korean conglomerate in connection with its intra-group reorganization by establishing a holding company in Hong Kong and transferring to the holding company all of its equity interests in companies located in China, Indonesia, Turkey, Vietnam and Philippines.
  • Advising the consortium led by Korea Investment Management in the purchase of 39% equity interest in the U.S. oil and gas company Parallel Petroleum from Samsung C&T.
  • Advising a Korean IT company in connection with its US$200 million investment as limited partner in special situation focused private equity funds set up in Delaware and Cayman Islands.
  • Advising a syndicate of Korean banks in respect of US$180 million secured financing to a global renewable energy company.
  • Advising issuance of US$150 million floating rate notes by Lotte Corporation.
  • Advising issuance of US$200 million floating rate notes with 4 tranches by Hyundai Heavy Industries Co. Ltd.
  • Advising NH Bank on obtaining a full banking license in Hong Kong.
  • Advising Woori Bank on the establishment of its global investment banking arm, Woori Global Markets Asia Limited, in Hong Kong including obtaining a banking license from the HKMA.
  • Advising Samsung Life Insurance in relation to its US$299 million MBS transaction, Korea’s first cross-border mortgage-backed deal arranged by Morgan Stanley.
