Jipyong Expands and Restructures its Management & Shareholder Disputes Center

Jipyong has expanded and restructured its former “Management Rights Disputes Response Center” into the “Management & Shareholder Disputes Center” to proactively address recent amendments to the Commercial Act.  These amendments emphasize the enhancement of minority shareholders’ rights and the expansion of directors’ responsibilities.  As a result, companies must now prepare more thoroughly for board and shareholder meetings by:

The Center provides comprehensive legal and consulting services, including advice on responding to activist and minority shareholder engagement, management rights disputes, amendments to articles of incorporation and board regulations, internal control system revisions, preparation for board meetings, electronic shareholder meeting operations, and responses to the Korea Exchange, Financial Supervisory Service, and related criminal matters.   
 
The Center is jointly led by Tae Hyun LEE, Head of the M&A & Corporate Group, and Gi Wan BAE, Deputy Director of the Corporate Finance Litigation Group.  Both have extensive experience in corporate governance, management rights disputes, and shareholder engagement, having recently collaborated on high-profile cases involving the exercise of minority shareholder rights by listed companies.  The Center operates under the supervision of Haeng Gyu LEE and is supported by specialized teams covering corporate governance, management rights disputes, private equity funds, capital markets, regulatory compliance, and criminal law.
