China's Regulation on Outbound Investment (《国务院关于对外投资的规定》, State Council Decree No. 837) officially came into effect on 1 July 2026. Adopted at the 83rd Executive Meeting of the State Council on 17 April 2026 and promulgated by Premier Li Qiang, the Regulation consists of 34 articles and represents the first comprehensive administrative regulation issued by the State Council governing China's outbound investment regime.
Previously, China's outbound investment framework was governed primarily by fragmented ministerial rules, including the National Development and Reform Commission's Administrative Measures for Enterprise Outbound Investment (企业境外投资管理办法, NDRC Order No. 11 of 2017), the Ministry of Commerce's Administrative Measures for Outbound Investment (境外投资管理办法, MOFCOM Order No. 3 of 2014), and various foreign exchange regulations administered by the State Administration of Foreign Exchange (SAFE). While these rules established the core approval and filing regime, they left significant regulatory gaps in areas such as individual outbound investment, national security review, and China's emerging anti-interference and counter-sanctions framework. The new Regulation elevates these fragmented requirements into a unified State Council-level legal framework while introducing more comprehensive supervision, national security review mechanisms, and enforcement measures throughout the lifecycle of outbound investments.
