Jipyong Management Rights Dispute Response Center Issues “Management Rights Legal Practice”

On January 5, Jipyong Management Dispute Response Center has issued “Management Rights Legal Practice,” which explains various legal issues arising in the field of management rights disputes from a practical perspective.  
 
Management disputes, which have traditionally occurred between major shareholders or between major shareholders and management, have recently entered another phase with the emergence of organized minority shareholders, including activist funds. Over time, the types of disputes are becoming more complex and the variables that need to be considered in managing a company are proliferating. 
 
In order to systematically and professionally focus on and respond to the increasing number of management rights disputes, Jipyong has organized a 'Management Rights Dispute Team' and has accumulated the capability to effectively respond to disputes through experience in the field of corporate management rights disputes. Recently, the 'Management Rights Dispute Team' has been expanded and reorganized into the 'Management Rights Dispute Response Center' to strengthen its capabilities in management rights dispute practice. 
 
This booklet summarizes Jipyong's experience in responding to and resolving various management rights disputes, as well as the laws, theories, and precedents referenced, and is organized into eight chapters. The chapters cover: ▲ an overview of management rights disputes; ▲actions on minority shareholders’ proposals and applications for permission to convene a shareholders' meeting; ▲ requests for access to accounting books and shareholder lists; ▲actions to be taken when a shareholders' meeting is decided to be held; ▲actions and responsive measures to be taken in the course of the shareholders' meeting; ▲methods of attack and defenses when a shareholders' meeting is held; ▲criminal issues related to shareholders' meetings; and ▲criminal issues related to business embezzlement and business misconduct.
